- Confidential Information means all non-public technical, operational, commercial, financial and personal information in any form (including plant and process data, models, margins, plans, designs, pricing, study findings, profiles and credentials) disclosed by one party (the “Discloser”) to another (the “Recipient”), whether or not marked confidential.
- Use. The Recipient shall use Confidential Information only for the agreed purpose (evaluating, registering for or performing an engagement), and for no other purpose.

- Standard of care. The Recipient shall protect Confidential Information with at least the care it uses for its own confidential information, and no less than reasonable care. PETRONOVA stores client-specific data on secured systems with restricted, need-to-know access, and keeps engagement email within its own domain.
- Exclusions. These duties do not apply to information that is or becomes public without breach, was lawfully known to the Recipient before disclosure, is lawfully received from a third party without restriction, or is independently developed without use of the Confidential Information.
- Legally required disclosure. If disclosure is required by law, regulator or court, the Recipient shall (where lawful) give prompt notice, and disclose only what is required.
- Sensitive and competitive information. Parties shall not exchange competitively sensitive information in a way that breaches competition or anti-trust law. PETRONOVA applies need-to-know and clean-team controls where appropriate.

- Term. Confidentiality obligations continue for five (5) years from the date of disclosure, and for as long as any trade secret remains a trade secret.
- Remedies. Breach may cause harm for which damages are inadequate, so the Discloser may seek injunctive relief in addition to other remedies.
- Consultants and collaborators. Every consultant and collaborator accepts these terms before accessing client information, and is bound by the client’s own confidentiality requirements. Each must disclose conflicts of interest before accepting an assignment.
- Governing law. These terms are governed by the laws of India, and courts at the location of PETRONOVA’s registered office have jurisdiction [to be confirmed by counsel].
